Purpose of the Meeting
The primary objective of this meeting is for the Secured Creditors to consider and, if they deem fit, approve the proposed Scheme of Amalgamation. This Scheme is designed to merge Dr. Agarwal’s Eye Hospital Limited (AEHL) with and into Dr. Agarwal’s Health Care Limited (AHCL). The amalgamation is being undertaken in accordance with Sections 230 to 232 and other applicable provisions of the Companies Act, 2013.
E-Voting Facility Available
To facilitate participation, AHCL has engaged the services of National Securities Depository Limited (NSDL) to provide remote e-voting facilities. The remote e-voting period will commence on Sunday, June 07, 2026, at 09:00 A.M. (IST) and will conclude on Wednesday, July 01, 2026, at 05:00 P.M (IST). In addition to remote e-voting, the facility to cast votes through an e-voting system or polling papers will also be available at the venue of the meeting.
Key Dates and Cut-off
The cut-off date for determining eligibility to vote has been set as Wednesday, December 31, 2025. Secured Creditors whose names are registered in the Company’s records as of this date will be eligible to exercise their voting rights.
