Key Details of the ESOP Grant
Under the terms of the ESOP Scheme 2019, each of the 4,52,500 granted options, upon vesting, provides the holder with the right to exercise and subscribe for one fully paid equity share of Ujjivan Small Finance Bank. The pricing formula for the exercise is set at ₹61.46, which represents the 3-month average of the volume-weighted average price of the bank’s shares. The exercise price is also capped by the lower of the last trading price on NSE on August 14, 2026, or the 3-month average volume-weighted average price.
Vesting Schedule and Exercise Period
The vesting schedule for these options is as follows: 20% in Year 1, 20% in Year 2, 30% in Year 3, and 30% in Year 4. Employees will have a period of 5 years from the date of their respective vesting to exercise their options. There are no options exercised or money realized at this stage, and no options have lapsed or had their terms varied.
