TIPS MUSIC LIMITED: Confirms 30th AGM on August 31, 2026, Proposes Buyback

TIPS MUSIC LIMITED has announced its 30th Annual General Meeting (AGM) will be held virtually on August 31, 2026. The company will also seek shareholder approval for a significant buyback of equity shares, proposing to repurchase up to INR 44.50 crore worth of shares at a maximum price of INR 750 per share. This move aims to efficiently service equity and enhance shareholder value.

Annual General Meeting Details

TIPS MUSIC LIMITED has officially announced that its 30th Annual General Meeting (AGM) will take place on Monday, August 31, 2026. The meeting is scheduled to commence at 12:00 PM (IST) and will be conducted through Video Conferencing (VC) or Other Audio-Visual Means (OAVM). The agenda includes the adoption of audited financial statements for the financial year ended March 31, 2026, confirmation of interim dividends, and the re-appointment of a director.

Proposed Equity Share Buyback

In a significant move to enhance shareholder value, the Board of Directors has approved a proposal for the buyback of the Company’s fully paid-up equity shares. The buyback will be conducted through the open market route via stock exchanges, with a maximum buyback price set at INR 750 per equity share. The aggregate amount for the buyback is capped at INR 44,50,00,000 (Rupees Forty Four Crores Fifty Lakhs only). This amount represents approximately 14.87% of the company’s total paid-up share capital and free reserves.

Key Buyback Parameters

The proposed buyback is subject to shareholder approval via a Special Resolution. The Company plans to utilize at least 75% of the Maximum Buyback Size, amounting to INR 33,37,50,000, for the buyback. An indicative minimum of 4,45,000 equity shares will be purchased. The buyback period is expected to commence from the date of the special resolution and will be completed within 66 working days from the opening of the buyback offer.

Related Party Transaction Approval

Shareholders will also consider and approve material related party transactions with Tips Films Limited. These transactions, primarily for the acquisition of audio-video music rights, advances, and reimbursements, are proposed to have an aggregate value not exceeding INR 60 Crores over a specified period. Both the Audit Committee and the Board have approved these transactions, deeming them to be in the ordinary course of business and at arm’s length.
