The company has given its in-principle approval for the merger of its subsidiary, TPL Plastech Limited, with the holding company, Time Technoplast Limited. This merger is expected to consolidate the group’s structure, rationalize manufacturing units, and enhance operational efficiency, with an appointed date of April 01, 2026.
Investment in New Subsidiary
Furthermore, the Board approved an investment of up to ₹50 crore in the equity shares of its newly incorporated subsidiary, Time Intercontinental Limited (TICL). This investment, to be made in one or more tranches at face value, will result in Time Intercontinental Limited becoming a subsidiary of Time Technoplast. The proposed investment aims to benefit the group through bulk purchase discounts on polymer procurement.
Acquisition Decision
In a separate decision, the company announced it will not proceed with the proposed acquisition of Ebullient Packaging Private Limited (EPPL). This decision follows the expiry of the Memorandum of Understanding (MoU) and a thorough evaluation considering subsequent global geopolitical developments and changes in the business environment. The discontinuation of this proposal is not expected to result in any financial loss to the company.
