Mr. Maheshwari is liable to retire by rotation and his re-appointment ensures continuity on the board. The company confirmed that Mr. Maheshwari is not subject to any SEBI orders or other debarments from holding a director’s position.

Profile of Mr. Sumit Maheshwari

Mr. Maheshwari joined Fairbridge Capital in 2011 and has served as its Managing Director since May 2018. His expertise lies in sourcing, evaluating, negotiating, executing, and exiting investment opportunities, along with monitoring portfolio companies. He has been involved with significant investments including Bangalore Airport, Sanmar Group, and Quess Corp, among others. He also sits on the boards of several Fairfax portfolio companies. His professional background includes audit and accounting advisory roles at KPMG in India and the UK. He is a qualified Chartered Accountant and holds postgraduate qualifications in Management from the Indian School of Business, Hyderabad, in addition to Bachelor’s and Master’s degrees in Commerce from the University of Mumbai. Mr. Maheshwari has no disclosed relationships with other Directors on the Board.

Non-Re-appointment of Mr. Chandran Ratnaswami

In a separate resolution, shareholders approved the non-re-appointment of Mr. Chandran Ratnaswami (DIN: 00109215). Mr. Ratnaswami was also liable to retire by rotation but did not seek re-appointment. The cessation of his tenure is effective from September 10, 2026.
