Additionally, the board has proposed to increase the company’s borrowing limit to ₹10,000 crore. Thinkink Picturez Secures Board Approval for Major Funding Initiatives
Thinkink Picturez Limited has announced a pivotal decision by its Board of Directors to approve substantial fundraising activities aimed at strengthening its financial position and enabling future growth. At a board meeting held on September 1, 2026, directors greenlit the proposed issuance of Foreign Currency Convertible Bonds (FCCBs).
USD 700 Million FCCB Issuance Approved
The Board has sanctioned the raising of funds through an international offering of FCCBs on a private placement basis. The aggregate amount authorized for this issuance is up to, and not exceeding, USD 700 million (Seven Hundred Million US Dollars), or its equivalent in other currencies. These FCCBs are intended to be optionally convertible into equity shares of the company. The final terms and conditions, including allotment dates, tenure, coupon rates, and issue prices, will be mutually decided between the company and the prospective investors, subject to necessary approvals.
Increased Borrowing Limit
In conjunction with the FCCB issuance, the Board has also approved a proposal to increase the company’s overall borrowing limit to ₹10,000,00,00,000 (Rupees Ten Thousand Crores). This increase is in accordance with Section 180(1)(c) of the Companies Act, 2013, and will require shareholder approval via a special resolution at the upcoming Annual General Meeting.
Other Key Decisions
Further key decisions made during the board meeting include the approval to give loans, guarantees, securities, or make investments up to ₹1,000 crore, also subject to shareholder approval. The 18th Annual General Meeting of the company has been scheduled for Tuesday, September 29, 2026, at 11:00 A.M. IST, and will be conducted via Video Conferencing (VC) or Other Audio-Visual Means (OAVM). The Board also approved the draft Notice of the AGM, Directors’ Report, and fixed the record date for the meeting. Additionally, Mrs. Shubhangi Rajkumar Agarwal has been appointed as the Secretarial Auditor for the financial years 2026-27 to 2030-2031, and also as the Scrutinizer for the AGM.
