Syrma SGS Technology: Incorporates New Subsidiary with Kaga Electronics

Syrma SGS Technology Limited has announced the incorporation of a new subsidiary, Syrma Kaga Electronics Private Limited, effective August 18, 2026. This venture is a joint incorporation with Kaga Electronics India Private Limited, with Syrma SGS Technology holding a 60% stake and Kaga holding 40%. The subsidiary is set to focus on the manufacturing of electronic components, including bare printed circuit boards and interface cards.

New Subsidiary Established

Syrma SGS Technology Limited has officially announced the incorporation of a new subsidiary named Syrma Kaga Electronics Private Limited. The incorporation, approved by the Ministry of Corporate Affairs, took place on August 18, 2026. This new entity is a joint venture with Kaga Electronics India Private Limited, where Syrma SGS Technology will hold a 60% stake, and Kaga Electronics will hold the remaining 40%.

Business Focus and Structure

The newly formed subsidiary, SKEPL, is established to undertake the business of electronics design, assembly, and manufacturing of various electronic components. This includes bare printed circuit boards, loading of components onto printed circuit boards, and the manufacture of interface cards for applications such as sound, video, controllers, network, and modems. It will also focus on semiconductors and other electronic components like capacitors, resistors, and chokes.

The authorized and subscribed capital for SKEPL is set at Rs. 1,00,000/- (Rupees One Lakh only). Syrma SGS Technology Limited’s investment of Rs. 60,000 represents 60% of the equity shares, priced at Rs.10 per share. The company has confirmed that this transaction, while being a related party transaction, is considered to be at ‘arm’s length’, with the necessary approvals already obtained.

Strategic Partnership

This joint incorporation signifies a strategic partnership aimed at expanding Syrma SGS Technology’s manufacturing capabilities and market reach within the electronics sector. The subsidiary is newly incorporated and has yet to commence its business operations, with a clear focus on building its presence in the design and manufacturing of electronic components.
