A public announcement has been made regarding an open offer to acquire up to 92,72,250 equity shares of Arnold Holdings Limited. This represents approximately 39.00% of the company’s total issued, subscribed, and paid-up equity share capital. The offer is being extended to the public shareholders of Arnold Holdings by Mr. Pawankumar Nathmal Mallawat (Acquirer 1) and Allwin Securities Limited (Acquirer 2), collectively referred to as “The Acquirers”, along with Keemtee Financial Services Limited (PAC).

Offer Price and Financials

The proposed offer price for each equity share is set at ₹12.50 (Rupees Twelve point Five Zero Only). Assuming full acceptance of the offer, the total consideration payable by the Acquirers would aggregate to approximately ₹11,59,03,125 (Rupees Eleven Crores Fifty-Nine Lakhs Three Thousand One Hundred and Twenty-Five Only). The Acquirers have confirmed sufficient liquid funds to meet their obligations, with an escrow account established with a deposit of ₹3,00,00,000.

Acquisition Rationale and Shareholding

The current shareholding of Acquirer 1 is 6,00,000 shares (2.52%), and the PAC holds 33,92,926 shares (14.27%). The offer aims to increase the Acquirers’ stake significantly. The Equity Shares of Arnold Holdings are listed on BSE Limited, and the offer will be implemented through the stock exchange mechanism. The tentative schedule indicates the tendering period commencing on November 3, 2026, and closing on November 18, 2026.
