Persistent Launches Takeover Bid for Nagarro SE
Persistent Systems, through its wholly-owned subsidiary Galaxy Germany Holding SE, has officially commenced a Voluntary Public Takeover Offer for all outstanding shares of Nagarro SE. The offer price stands at EUR 81.00 per share in cash, representing a significant premium of approximately 140% over Nagarro’s closing price on June 25, 2026, and a 93% premium over the three-month volume-weighted average price. This strategic move aims to combine the strengths of both companies in digital engineering, AI, and cloud services.
Offer Details and Support
The six-week acceptance period for the offer began on August 6, 2026, and will run until September 17, 2026, with an additional acceptance period expected from September 23 to October 6, 2026. Nagarro’s Management Board and Supervisory Board have expressed support for the transaction and intend to recommend that shareholders accept the offer. Members of Nagarro’s management and employees have also indicated their intention to tender approximately 15% of the company’s shares.
Furthermore, Persistent has already secured an approximately 22% stake in Nagarro through a binding share purchase agreement with Lantano Beteiligungen GmbH, the investment vehicle of Nagarro’s largest shareholder. The offer is contingent on achieving a minimum acceptance threshold of 50% plus one share of all outstanding Nagarro shares. Persistent shareholders approved the acquisition at an annual general meeting on August 3, 2026.
