Board Approves Continuation of Key Directors

In a significant move for corporate governance and continuity, the Board of Directors at Pasupati Spinning & Weaving Mills Ltd. has approved the continuation of two of its key leadership figures beyond their customary retirement ages. This decision, made during the board meeting on August 12, 2026, underscores the company’s confidence in their experienced leadership.

Continuity for Whole-Time and Independent Directors

Mr. Chander Mohan Sharma, currently a Whole-time Director, will continue in his role despite attaining the age of 70 on December 13, 2026. His term will extend for the remainder, concluding on December 19, 2027, pending shareholder approval. Similarly, Mr. Anil Kumar Jain, an Independent Director, will continue past the age of 75, which he will reach on January 9, 2027. His extended term will run until August 13, 2029, also subject to member confirmation.

New Appointment to the Board

Adding to the board’s expertise, Mr. Bhim Sain Goyal has been appointed as an Additional Director. He will serve in the capacity of a Non-executive Independent Director for a period of five consecutive years, starting from August 12, 2026, through to August 11, 2031. This appointment also requires the approval of the company’s shareholders.

Confirmation of Director Eligibility

Further assuring stakeholders, the company confirmed that Mr. Chander Mohan Sharma, Mr. Anil Kumar Jain, and Mr. Bhim Sain Goyal are not debarred from holding directorships by any SEBI order or other relevant authority, adhering to stock exchange circulars and regulatory requirements.
