The Board of Directors of Pasupati Spinning & Weaving Mills Limited, in a meeting held on August 12, 2026, approved a significant alteration to the company’s Memorandum of Association (MOA). This includes the addition of new sub-clauses (6) and (7) to the main object clause, expanding the company’s business scope. The approved changes will be presented for shareholder approval at the upcoming Annual General Meeting. The amendments primarily focus on broadening the company’s involvement in the processing, manufacturing, and trading of a wide array of food products and beverages.

Expanded Business Objectives Approved by Board

Pasupati Spinning & Weaving Mills Limited announced today that its Board of Directors has approved amendments to the company’s Memorandum of Association (MOA). The decision was made during a board meeting convened on August 12, 2026. The alterations involve the insertion of new sub-clauses (6) and (7) into the existing main objects clause (3(A)), significantly broadening the company’s defined business activities.

Focus on Food and Beverage Sector Expansion

The newly added objectives, detailed in Annexure A of the disclosure, indicate a strategic push into the food and beverage industry. Sub-clause (6) outlines the company’s intention to engage in the processing, manufacturing, import, export, and trading of a comprehensive range of items, including processed foods, health foods, protein foods, agro foods, fast foods, poultry products, sea foods, dairy products, extruded foods, frozen foods, dehydrated foods, precooked foods, canned foods, preserved foods, bakery products, and confectionery. This also encompasses items like tea, coffee, and various condiments.

Furthermore, sub-clause (7) expands the company’s scope to include the business of manufacturing, processing, importing, exporting, and dealing in all types of beverages. This includes soft drinks, concentrates, syrups, mineral water, and other related products, whether derived from natural or synthetic materials. The business activities can be undertaken both within India and internationally.

Shareholder Approval Pending

These proposed changes to the MOA are subject to the approval of the company’s shareholders at the forthcoming Annual General Meeting (AGM). The company stated that the disclosure is in compliance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
