The company has been informed by Resilient Asset Management B.V. (“Resilient”) of its intention to undertake a Block Market Trade. This trade aims to sell up to 4.98% of the shareholding in Paytm.

Transaction Details and Ownership Structure

The proposed sale is being executed under an existing Optionally Convertible Debenture (OCD) agreement between Resilient and Antfin (Netherlands) Holding B.V. (“Antfin”). A key detail of this arrangement is that the economic value derived from the sale will be retained by Antfin. This situation arises from Resilient having previously acquired an approximate 10.20% equity stake in Paytm from Antfin. This acquisition was settled against OCDs issued to Antfin, with the economic interest in these shares continuously belonging to Antfin. The company has emphasized that it is not a direct party to this specific transaction, and there will be no change in the Founder’s direct shareholding in Paytm.
