Nazara Technologies Limited has announced a substantial capital infusion into its wholly-owned subsidiary, Nazara UK. On August 3, 2026, the company infused USD 3,38,46,807 (approximately INR 323.58 Crores) via equity subscription and USD 5,73,95,833 (approximately INR 548.70 Crores) as a loan. Additionally, Nazara UK paid USD 89.45 million (approximately INR 851.51 Crores) as the first tranche towards acquiring target companies, making them wholly-owned subsidiaries.
Capital Infusion for Acquisition
Nazara Technologies Limited has made significant financial commitments to facilitate the acquisition of target companies by its wholly-owned subsidiary, Nazara UK. In an update regarding the Amended and Restated Share Purchase Agreement, the company disclosed that on August 3, 2026, it infused USD 3,38,46,807 (approximately INR 323.58 Crores) into Nazara UK through equity shares. Furthermore, an additional USD 5,73,95,833 (approximately INR 548.70 Crores) was infused as a loan into Nazara UK.
Acquisition Tranche Payment
Further to the above, on August 6, 2026, Nazara UK disbursed the first tranche of payment towards the acquisition of the target companies. An amount of USD 89.45 million (equivalent to approximately INR 851.51 Crores) has been paid in cash out of the total consideration of USD 303.02 million (~INR 2990 Crores). The remaining consideration will be paid as outlined in the Amended SPA.
Subsidiary Status Update
Consequent to these transactions, the target companies, Bluetile Games, S.L. (“Bluetile”) and Bestplay Systems, S.L. (“Bestplay”), have officially become wholly-owned subsidiaries of Nazara UK. They are now also step-down subsidiaries of Nazara Technologies Limited, effective from August 3, 2026.
