Jio Financial Services Limited (JFSL) has finalized a significant investment agreement with Bank of America Corporation (BofA), through its wholly-owned subsidiary NB Holdings Corporation, USA. The agreement allows for an investment of up to ₹18,268.22 crore in JFSL’s wholly-owned subsidiary, Jio Credit Limited (JCL). This capital infusion is set to significantly bolster JCL’s growth prospects within India’s burgeoning financial services market.
Investment Details and Structure
The investment is structured as a preferential issue on a private placement basis. BofA will subscribe to equity shares and warrants. Initially, the transaction grants Bank of America a 26.50% equity interest in JCL, representing 4,29,29,760 equity shares valued at up to ₹6612,90,02,304. Additionally, BofA will acquire up to 7,56,64,248 warrants for up to ₹11655,32,07,619.20. These warrants are convertible into equity shares within 18 months. Upon full conversion of these warrants, Bank of America will hold a total of 49.90% of the paid-up equity share capital of JCL.

This partnership aims to merge JFSL’s extensive digital reach and deep understanding of the Indian market with BofA’s global financial services expertise. Jio Credit Limited, already recognized as one of India’s fastest-growing NBFCs with approximately ₹30,667 crore in assets under management as of June 30, 2026, is poised for accelerated expansion. The collaboration is expected to enhance JCL’s lending products, risk management capabilities, and overall customer service, capitalizing on India’s robust economic growth.
