Glenmark Pharmaceuticals Ltd. announced today that its subsidiary, Glenmark Pharmaceuticals Inc., USA (‘Glenmark USA’), has entered into a settlement agreement with Humana, Inc. The agreement aims to resolve ongoing antitrust and consumer protection lawsuits that have been consolidated in the Eastern District of Pennsylvania, U.S. These lawsuits, filed by various plaintiffs including end-payers and attorneys general, alleged price-fixing and market allocation practices by generic pharmaceutical manufacturers.

Settlement Terms and Company Stance

Under the terms of the settlement, Glenmark USA will pay a total of $15.28 million ($15,285,369), inclusive of interest, to Humana. This amount will be paid in two installments. Importantly, Glenmark USA explicitly denies each and every allegation made against it. The company emphasizes that this settlement does not represent any concession or admission of liability, wrongdoing, or illegality. The full amount of these payments has already been provisioned for in the company’s financial statements, indicating no significant impact on its overall financial position.

Background of the Litigation

Since 2016, Glenmark USA has been involved in more than 35 complaints alleging violations of federal antitrust laws concerning the pricing of pharmaceutical products. The litigation involved various classes of purchasers and numerous state attorneys general. Three specific complaints filed by Humana were part of this consolidated litigation. Plaintiffs alleged both individual drug-specific conspiracies and a broader, overarching conspiracy among multiple generic drug manufacturers in the United States. Glenmark USA, alongside other defendants, has consistently denied these accusations and mounted a vigorous defense.
