Choice International approves 1:1 bonus share issue and doubles authorized capital

Choice International’s Board of Directors has approved a substantial 1:1 bonus share issue, effectively doubling the number of outstanding equity shares. This move follows the board’s decision to increase the company’s authorized share capital from ₹225 crore to ₹447.80 crore. The bonus issue is subject to shareholder approval and is designed to enhance shareholder value. The company also approved the draft notice for an Extra Ordinary General Meeting to formalize these changes.

Board Approves Major Bonus Issue

In a significant development for its shareholders, the Board of Directors of Choice International has given its nod to a 1:1 bonus share issue. This means that for every one equity share held, shareholders will receive an additional one equity share. The record date for this bonus issue will be communicated in due course.

Authorized Capital Expansion

To facilitate this bonus issuance and future growth, the company’s authorized share capital is set to increase substantially. It will be revised from the current ₹225,00,00,000 (₹225 crore), representing 22,50,00,000 equity shares of ₹10 each, to ₹447,80,00,000 (₹447.80 crore), comprising 44,78,00,000 equity shares of ₹10 each. This strategic expansion of capital is a key step in the company’s financial planning.

Shareholder Approval Required

The proposed bonus issue and the consequential alteration to the Memorandum of Association’s Capital Clause are subject to the approval of the company’s shareholders. To this end, the Board has approved the draft Notice for the 1st Extra Ordinary General Meeting for the financial year 2026-27, which will seek shareholder consent for these resolutions.

Bonus Issue Details

The bonus shares will be issued from the company’s Securities Premium Account or Free Reserves. As of March 31, 2026, the company had a balance of ₹745,88,39,749 in its free reserves and Securities Premium account, which is sufficient for implementing the proposed bonus issue.

Meeting Concluded
