CESC revises renewable energy acquisition completion to November 21

CESC Limited has updated the indicative timeline for its acquisition of renewable energy assets. The completion of the acquisition, previously expected by October 31, 2026, has been revised to November 21, 2026. This adjustment follows an amendment to the Share Purchase Agreement involving multiple ReNew entities and target companies, aimed at expanding CESC’s renewable power footprint.

CESC Updates Acquisition Timeline

CESC Limited has informed stakeholders about a revised timeline for its significant acquisition of renewable energy assets. The acquisition, which was initially slated for completion by October 31, 2026, is now projected to be finalized by November 21, 2026. This extension is attributed to an amendment in the Share Purchase Agreement (SPA) for the transaction.

Details of the Amended Agreement

The amendment to the SPA involves ReNew Solar Power Private Limited, Purvah Green Power Private Limited, and several target companies, including ReNew Hans Urja Private Limited, ReNew Solar Photovoltaic Private Limited, ReNew Wind Energy (Karnataka 3) Private Limited, ReNew Wind Energy (MP Four) Private Limited, ReNew Wind Energy (Karnataka 4) Private Limited, and ReNew Agni Power Private Limited. This strategic move aims to enhance CESC’s operational capacity in the renewable energy sector.

Impact of the Acquisition

The acquisition is expected to significantly boost CESC’s renewable power footprint, accelerating the expansion of its Pan-India presence. The deal is anticipated to increase the company’s operational capacity to over 1.8 GWp and contracted/tied-up capacity to over 3 GWp, bringing the total to approximately 4.8 GWp. This expansion is crucial for the group’s ambition to build a 10 GW renewable energy platform in the coming years.

Original Disclosure

An earlier communication dated August 10, 2026, had detailed the initial agreement for acquiring 1.4 GWp of operating solar portfolio from ReNew Solar Power Private Limited for an enterprise value of INR 4859 crore. The acquired assets are operating projects, with over 90% of capacity contracted with the Solar Energy Corporation of India (SECI) under long-term power purchase agreements.
