Aditya Birla Capital Limited has announced a major capital infusion of ₹4,000 crore through a preferential allotment of equity shares. The board has approved the issuance to its promoter, Grasim Industries Limited, along with Suryaja Investments Pte. Ltd. and the International Finance Corporation (IFC). This strategic move aims to strengthen the company’s capital base and fuel its next phase of growth across its lending and financial services businesses.

Details of the Preferential Allotment

The company will issue 11,23,53,236 fully paid-up equity shares at a price of ₹356.02 per share. This includes a premium of ₹346.02 per share. The breakdown of the capital allocation is as follows:

  • Grasim Industries Limited (Promoter): 8,08,94,331 equity shares for a consideration of ₹2,880 crore.
  • Suryaja Investments Pte. Ltd.: 56,17,661 equity shares for a consideration of ₹200 crore.
  • International Finance Corporation (IFC): 2,58,41,244 equity shares for a consideration of ₹920 crore.

The funds raised will be utilized to support the company’s long-term growth objectives. Key areas of focus include augmenting the capital base, meeting funding requirements for the lending business, and supporting general corporate purposes, including potential investments in subsidiaries, joint ventures, and associates. Next Steps

The preferential issuance is subject to the necessary shareholder approvals. To this end, an extra-ordinary general meeting has been convened for Friday, June 12, 2026, at 11:00 a.m. via video conferencing. Additionally, the company has executed a Share Subscription Agreement (SSA) and a Policy Agreement with the International Finance Corporation to govern the terms of the investment and align with international development finance standards.
