KNR Constructions Limited announced the divestment of a significant stake in its subsidiary, KNR Ramagiri Infra Private Limited (KRIPL). The transaction, which saw 99.90% of equity shares transferred to Indus Infra Trust, was completed on June 11, 2026. The company invested ₹82.75 crore in the SPV and has received a total consideration of ₹227.45 Crore, marking a profitable exit. The remaining 0.10% of shares could not be transferred due to technical issues but the economic benefit lies with the purchaser.

Key Business Transaction

KNR Constructions Limited (KNRCL) has completed the transfer of a substantial portion of its equity share capital in its subsidiary, KNR Ramagiri Infra Private Limited (“KRIPL”). The company divested 99.90% of the equity share capital, representing 480,262 shares, to Indus Infra Trust, the designated “Purchaser”. The effective date of this significant transaction was June 11, 2026. A small fraction, 0.10% or 488 shares, could not be transferred due to unforeseen technical difficulties, however, the economic benefit associated with these shares has been secured by the Purchaser.

Financials of the Deal

KNRCL’s initial investment in the SPV, KRIPL, amounted to ₹82.75 crore, which was comprised of both equity and subordinated debt. Following the completion of the sale, KNR Constructions Limited has received a total consideration of ₹227.45 Crore from Indus Infra Trust. This transaction represents a profitable divestment for the company, exceeding its initial investment substantially. The Share Purchase Agreements for this transaction were executed on December 24, 2025.

Details of the Subsidiary and Buyer

The subsidiary, KNR Ramagiri Infra Private Limited (KRIPL), contributed ₹169.90 crore to KNRCL’s consolidated turnover, representing 6.30% of the total consolidated turnover as of March 31, 2026. Furthermore, the net worth contributed by KRIPL to the consolidated net worth was ₹161.13 crore, accounting for 3.24% as of the same date. The buyer, Indus Infra Trust, is a publicly listed infrastructure investment trust registered with SEBI. It is important to note that the Purchaser does not have any affiliation with KNRCL’s promoter, promoter group, or any group companies. The transaction was not deemed to be a related party transaction and was conducted at an arm’s length basis.
