NACDAC Infrastructure: Board Approves Director Salary Hikes, Sets AGM Date

NACDAC Infrastructure Limited’s Board of Directors convened on September 4, 2026, approving the FY 2025-26 Annual Report and notice for the 14th AGM on September 28, 2026. Key decisions include the re-appointment of Mr. Ashish Saxena and proposed revisions to the remuneration ceilings for Mr. Hemant Sharma and Mr. Ashish Saxena, effective August 1, 2026, subject to shareholder approval.

Board Meeting Outcome and AGM Details

The Board of Directors of NACDAC Infrastructure Limited met on Friday, September 4, 2026, to discuss and approve several key items. The meeting commenced at 4:00 P.M. IST and concluded at 6:00 P.M. IST. The Board approved the Directors’ Report for FY 2025-26, the Annual Report, and the notice convening the 14th Annual General Meeting (AGM). The AGM is scheduled to be held on Tuesday, September 28, 2026, at 04:00 P.M. IST, and will be conducted through Video Conferencing (VC) or Other Audio-Visual Means (OAVM). The Annual Report and AGM notice will be available on the company’s official website.

Additionally, the Board decided that the 14th AGM will take place on Tuesday, September 29, 2026, also through VC or OAVM. The notice for this AGM will be submitted to the stock exchanges in due course.

Director Re-appointment and Remuneration Revisions

The Board approved and recommended the re-appointment of Mr. Ashish Saxena as Whole Time Director, who retires by rotation. His re-appointment details, as required under SEBI regulations, are provided in ‘Annexure A’.

Furthermore, the Board approved revisions to the remuneration ceilings for two key executives. For Mr. Hemant Sharma, Chairman & Managing Director (DIN: 05304685), the monthly remuneration ceiling is proposed to be increased from ₹1,60,000/- to ₹2,65,000/- (up to ₹31,80,000/- p.a.), effective August 1, 2026. For Mr. Ashish Saxena, Whole Time Director (DIN: 07941108), the proposed revision increases the monthly remuneration ceiling from ₹1,05,000/- to ₹2,05,000/- (up to ₹24,60,000/- p.a.), also effective August 1, 2026. Both proposed revisions are subject to the approval of the Members through a Special Resolution at the ensuing AGM.

E-Voting Infrastructure and Scrutinizer Appointment

For the 14th AGM, NACDAC Infrastructure Limited has appointed Central Depository Services (India) Limited (CDSL) as the remote e-voting agency. M/s. Anu Malhotra and Associates, Practicing Company Secretaries, have been appointed as the Scrutinizer to conduct the remote e-voting and voting process during the AGM.
