The acquisition is expected to enhance long-term participation in the solar energy sector.

Transrail Lighting Approves Strategic Acquisition

Transrail Lighting Limited’s Board of Directors has given its approval for the acquisition of a 49% equity stake in NOPL Pace Green Energy Private Limited. This significant strategic move, announced on October 19, 2026, marks Transrail’s expansion into the renewable energy sector, specifically in solar power generation.

Deal Details and Target Company Overview

The acquisition involves a cash consideration of up to ₹20 crore. NOPL Pace Green Energy Private Limited is a special purpose vehicle focused on developing, constructing, owning, and operating solar power generation projects. The target company is currently developing an aggregated solar power portfolio of approximately 990 MW (AC) under the Pradhan Mantri Kisan Urja Suraksha evam Utthan Mahabhiyan (PM-KUSUM) Scheme in Maharashtra. The project’s approximate cost is estimated at ₹3,900 crore and is backed by a 25-year Power Purchase Agreement (PPA) with Maharashtra State Electricity Distribution Company Limited (MSEDCL) at a fixed tariff of ₹3.10 per unit. Debt financing for the project has already been sanctioned by a financial institution.

Strategic Rationale and Future Impact

This acquisition is expected to provide Transrail Lighting with several strategic benefits. These include entry into renewable power generation through participation in a large solar portfolio with a long-term contracted offtake arrangement, leveraging existing expertise in project management, and diversification beyond the EPC business into renewable power generation, promising recurring earnings. The company’s further investment will be phased in line with project milestones and debt drawdown. Upon completion, NOPL Pace Green Energy Private Limited will become an associate of Transrail Lighting Limited.

Transaction Status

The acquisition is subject to customary conditions, requisite approvals, and the consent of the financial institution that has sanctioned the project debt. The Board Meeting where this approval was granted commenced at 03:00 p.m. (IST) and concluded at 03:55 p.m. (IST) on October 19, 2026. The completion of the acquisition is anticipated within 180 days from the board approval.
