YES BANK has received board and shareholder approvals to raise up to INR 8,500 Crores through the issuance of eligible debt securities. This fundraising initiative, approved by the Capital Raising Committee on August 12, 2026, will establish a Medium Term Note (MTN) Programme. The funds can be raised in Indian or foreign currency, in one or more tranches, through private placement in domestic or overseas markets.
YES BANK Secures Approval for Significant Debt Issuance
YES BANK Limited has announced a significant step in its capital-raising strategy, having secured the necessary approvals to issue eligible debt securities. This initiative aims to raise funds up to INR 8,500 Crores (Rupees Eight Thousand and Five Hundred Crores Only).
Fundraising Framework Approved
The Bank’s Board of Directors had previously, on June 3, 2025, approved raising funds via debt securities, subject to shareholder consent. This was subsequently ratified by the shareholders at the 21st Annual General Meeting held on August 21, 2025.
Further reinforcing these approvals, the Capital Raising Committee of the Board, in its meeting on August 12, 2026, has officially approved the establishment of a Medium Term Note Programme (MTN Programme). This programme will facilitate the subsequent issuance of medium-term notes by the Bank from time to time.
Scope of Issuance
The Bank is authorized to borrow and raise funds in Indian or foreign currency. This can be achieved through the issuance of various eligible debt securities, including but not limited to: non-convertible debentures, Medium Term Notes (MTNs), bonds (which may form part of Tier I/Tier II capital under Basel III regulations), long-term infrastructure bonds, or other securities permitted by the RBI. The issuance also includes convertible debentures, convertible preference shares, and foreign currency convertible/exchangeable bonds. Securities may also be issued from offshore branches or the IBU at GIFT City IFSC, in compliance with applicable regulations.
The issuance can occur in one or more tranches and/or series, on a private placement basis, in either the domestic or overseas markets, and as per the discretion of the Bank.
Offering Circular Preparation
In conjunction with the MTN Programme, the Capital Raising Committee has also approved the issuance of the relevant offering circular. The Bank also confirmed that details of this information are hosted on its website and the websites of BSE Limited and National Stock Exchange of India Limited, as per listing regulations.
