Shareholding Details Pre and Post Buyback

Before the buyback, Welspun Group Master Trust, in conjunction with persons acting in concert (PACs), held 63,04,68,259 shares, representing 65.73% of Welspun Living Limited’s total share capital. Following the tender of 83,90,785 shares in the buyback offer, the trust’s post-buyback holding stands at 62,20,77,474 shares. This constitutes 65.85% of the total diluted share capital, reflecting a marginal increase in the percentage holding post-disposal due to the buyback mechanism.

The total promoter and PAC holding before the buyback was 63,53,49,495 shares (66.24%), which decreased to 62,69,39,496 shares (66.36%) after the disposal of 84,09,999 shares. The mode of disposal was via the Buyback Offer, with the relevant date being June 11, 2026.

Capital Structure Overview

The disclosure also provides an overview of Welspun Living Limited’s capital structure. Before the buyback/sale, the total equity share capital and total voting capital stood at Rs. 95,91,52,514. After the buyback, the paid-up capital has been adjusted to Rs. 94,47,52,514, reflecting the reduction in the total number of outstanding shares.
