The company emphasized the inadvertent nature of the violation.

Insider Trading Violation Identified

Waaree Energies Limited has formally reported a violation of its internal Code of Conduct for the Prevention of Insider Trading. The violation was attributed to Mr. Mithil Gandhi, a Designated Person within the company. The report, prepared in accordance with SEBI regulations, details the circumstances surrounding the breach of trading norms.

Details of the Transaction

The violation pertains to the purchase of 599 equity shares on August 3, 2026, and 400 equity shares on August 4, 2026. These transactions were observed to have occurred within six months of a previous sale transaction dated June 19, 2026, thus qualifying as a contra trade. Crucially, these trades were executed without obtaining the required pre-clearance from the Compliance Officer, as stipulated by the company’s code.

Actions Taken by the Company

This sum is to be remitted to the SEBI Investor Protection and Education Fund (IPEF).

However, as per SEBI PIT Regulations, the profit earned from such a violation is mandated to be disgorged and deposited with the IPEF.

Previous Instances and Financial Disgorgement
