Retirement of Chairman and Appointment of Successor
Mr. Noel N. Tata will retire from his position as Chairman and Director of the Company, with his tenure concluding at the close of business hours on November 11, 2026. This retirement is in accordance with the age of superannuation prescribed by the Tata Group’s policies. Mr. Tata, who has been associated with Voltas since 2003, will be honored with the title of Chairman Emeritus, effective November 12, 2026. The Board expressed its deep appreciation for his distinguished service and invaluable contributions.
Following Mr. Tata’s retirement, Mr. Sunil Alaric D’Souza (DIN: 07194259) has been appointed as the new Chairman of the Company, effective November 12, 2026.
Managing Director Transition and New Appointment
Mr. Mukundan Menon C.P., the current Managing Director (DIN: 09177076), will complete his term on May 24, 2027, and will retire from the services of the Company on that date, adhering to the Tata Group’s retirement policy for Executive Directors. As part of a planned succession, the Board has approved the appointment of Mr. Jayant Balan (DIN: 03480708) as an Additional Director and Managing Director. Mr. Balan’s appointment is for a term of five years commencing May 25, 2027, subject to shareholder approval. To ensure a seamless leadership transition, he will also serve as Head – Room Air Conditioner Business and Managing Director Designate until his official appointment.

Brief Profiles of New Appointees
Mr. Jayant Balan is a Mechanical Engineer and PGDM from SP Jain Institute of Management & Research. He joined the Tata Group in 1999 and has held leadership roles across manufacturing, supply chain, strategy, international operations, and consumer durables. Before this, he served as CEO of Voltbek Home Appliances Private Limited since 2019 and most recently as Head – Room Air Conditioner Business.
Mr. Venkatesalu Palaniswamy holds a Commerce Graduate degree and is an alumnus of Harvard Business School (Advanced Management Program) and Symbiosis (SIIB). He is currently the Managing Director of Trent Limited and has extensive experience in strategic business development, previously holding senior roles at Trent and Tata Sons.
