Vedanta Limited Kroll Trustee Services Announces Amended Facility Agreement

Kroll Trustee Services (HK) Limited has confirmed an Amended Facility Agreement, following an earlier agreement from January 30, 2026. This new arrangement, executed on May 13, 2026, involves a total commitment of up to US$ 600,000,000. The agreement maintains a negative lien on 2,204,724,753 shares, representing 56.38% of Vedanta Limited’s total equity, while streamlining the consortium of lenders supporting the borrower and its subsidiaries.

Consortium and Financial Scope

The updated agreement, finalized on May 13, 2026, serves to amend and restate the previous facilities provided to the borrower, Vedanta Resources Limited, and its guarantors. The financing arrangement now encompasses a broader group of lenders, including DB International (Asia) Limited, First Abu Dhabi Bank PJSC, JPMorgan Chase Bank, N.A., Mashreqbank PSC, National Development Bank PLC, and Standard Chartered Bank. Additionally, Bank of Maharashtra IFSC Banking Unit and Sumitomo Mitsui Banking Corporation Singapore Branch have joined the facility.

Encumbrance Structure

The facility includes a negative lien on the shares of Vedanta Limited (VEDL) held by the obligors, specifically Twin Star Holdings Ltd., VHMLII, and Welter, alongside other material subsidiaries. This structure ensures that the VRL Group retains control over at least 50.1% of the issued equity share capital of VEDL. The total number of shares under the encumbrance is 2,204,724,753, which constitutes 56.38% of the target company’s shareholding.

Strategic Implications

This amendment preserves the existing security framework while accommodating the updated financial commitments of US$ 600,000,000. By consolidating these terms, the agreement provides continued clarity on the ownership and encumbrance status of the underlying assets. The obligations remain strictly focused on maintaining the VRL Group’s shareholding interest in VEDL, ensuring consistency with previous disclosures made throughout the 2025-2026 period.
