Transaction Details

The transfer was conducted as a gift, through an off-market transaction, on September 8, 2026. This transaction represents 0.18% of the total share capital of Valor Estate Limited. Prior to this transfer, Shravan Bali held 25,48,59,409 shares, representing 46.99% of the company’s voting rights. Following the transaction, Shravan Bali’s direct holding has reduced to 0, while Ms. Shruti Ahuja’s holding has increased by the gifted shares, though her exact post-transaction shareholding is detailed in Annexure A.

Context of the Transfer

The disclosure is made in accordance with Regulation 29(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The total equity share capital of Valor Estate Limited before and after the sale remained constant at Rs. 542,40,67,610/-. This transaction does not alter the overall shareholding of the Promoter and Promoter Group combined, which collectively held 47.17% of the company’s total voting capital as of September 7, 2026.
