UPL Limited Further Investment in Associate Entity Sinova Inovacoes Agricolas

UPL Limited has announced a strategic further investment in its associate entity, Sinova Inovacoes Agricolas S.A., located in Brazil. Through its subsidiary, UPL Brazil, the company is investing approximately USD 86.7 million (BRL 450 million) to support the entity’s working capital requirements and debt reduction. Following this transaction, UPL’s stake in Sinova will increase from 49.97% to 55.81%, with the deal expected to close by May 15, 2026.

Strategic Financial Infusion

UPL Limited has committed to a further equity infusion into Sinova Inovacoes Agricolas S.A., formerly known as Sinagro Produtos Agropecuarios S.A. The investment of USD 86.7 million is designed to strengthen Sinova’s financial position by addressing critical working capital needs and facilitating a reduction in existing debt levels.

Role in the Brazilian Market

Sinova serves as a major reseller of grains and agricultural products, maintaining a significant footprint in Brazil’s ‘Cerrado’ savanna region. This entity plays a vital role for UPL by promoting and distributing UPL products within this key agricultural territory. Although the increased investment raises UPL’s total shareholding to 55.81%, the company has clarified that Sinova will continue to be classified as an associate, as UPL will not exercise management control over the entity.

Transaction Details

The investment is being executed by UPL’s step-down subsidiary, United Phosphorus Holdings Brazil B.V. The process is expected to be finalized on or before May 15, 2026. This move underscores UPL’s continued commitment to strengthening its distribution network and supporting the growth of its regional business partners in the South American market.
