Expansion into the United Kingdom

A key highlight of the meeting was the approval for the incorporation of a subsidiary company in the United Kingdom. This move is subject to the completion of all applicable statutory, regulatory, and other formalities. The proposed subsidiary, to be named Maxwell Grid Transformers (UK) Private Limited, is intended to bolster the company’s international presence and operational capabilities in the European market. It will engage in the business of manufacturing and repairing transformers, selling and distributing the parent company’s transformers, and trading in transformer components.

QIP Proceeds Reallocation

Furthermore, the Board addressed the utilization of proceeds from a Qualified Institutional Placement (QIP). The company has decided to seek approval from its members for the variation or re-allocation in the utilization of QIP proceeds that remain unutilized as of the meeting date. This crucial financial decision will be pursued through a Special Resolution via Postal Ballot. The original QIP was conducted pursuant to a Placement Document dated June 13, 2024. The proposed investment in the UK subsidiary is expected to be up to GBP 10 million.

Financial and Operational Details of UK Subsidiary

The new UK entity is planned to be a wholly-owned subsidiary, with Transformers and Rectifiers (India) Limited holding 51% shareholding and control. The initial capital subscription will be in cash, with the total investment not exceeding GBP 10 million. This investment will be made in one or more tranches through subscription to equity share capital, debt, guarantees, or other permissible instruments. The subsidiary’s primary focus will be within the Electrical Equipment and Capital Goods Sector.
