Titagarh Rail Systems: Board Approves Executive Re-appointment and JV Exit

Titagarh Rail Systems Limited’s Board of Directors convened on September 7, 2026, approving several key decisions. These include the re-appointment of Shri Anil Kumar Agarwal as Deputy Managing Director, the setting of a record date for dividend payment for FY 2025-26, and the decision to discontinue its joint venture in Titagarh Mermec Private Limited (TMPL). The AGM will be held on September 30, 2026.

Key Board Decisions Unveiled

At its meeting held on September 7, 2026, the Board of Directors of Titagarh Rail Systems Limited finalized several significant resolutions. A primary outcome was the approval of the re-appointment of Shri Anil Kumar Agarwal as Deputy Managing Director. This reappointment is for a term of three years, commencing May 29, 2027, subject to shareholder approval at the upcoming Annual General Meeting (AGM).

AGM and Dividend Details

The Board also announced the convening of the 29th Annual General Meeting (AGM) of the company, scheduled for Wednesday, September 30, 2026, at 01:30 PM IST. This meeting will be conducted through a Video Conference (VC) or Other Audio-Visual Means (OAVM). Furthermore, a record date of Wednesday, September 23, 2026, has been fixed for the payment of dividend for the Financial Year 2025-26 to eligible shareholders.

Joint Venture Discontinuation

In a strategic move, the Company’s Board has decided to discontinue its participation in the joint venture, Titagarh Mermec Private Limited (“TMPL”). Titagarh Rail Systems holds a 50% stake in TMPL, which is a joint venture with Mermec S.p.A., Italy. The JV has been non-operational with no active material business operations. Both partners have mutually agreed to conclude the arrangement, allowing the company to focus on optimizing its business portfolio. Necessary steps for the closure of the joint venture company will be undertaken, subject to regulatory approvals.
