Timken India Limited successfully held its 39th Annual General Meeting (AGM) on Tuesday, August 18, 2026. The meeting was conducted virtually via Video Conferencing and Other Audio Visual Means, as permitted by the Ministry of Corporate Affairs. The proceedings commenced at 3:00 PM IST.
Key Resolutions Approved
During the AGM, shareholders considered and approved several important business items. These included the adoption of the Audited Financial Statements for the financial year ended March 31, 2026, along with the reports of the Board of Directors and Statutory Auditors. A dividend of Rs. 2.50 /- per equity share of Rs. 10/- each, fully paid up, for the financial year ended March 31, 2026, was also declared and approved by the shareholders.
Director Re-appointment and Related Party Transactions
The shareholders also approved the appointment of a Director, in place of Mr. Hansal Patel, who retires by rotation and offered himself for re-appointment. Furthermore, the remuneration payable to the Cost Auditors was ratified. The meeting concluded with the approval of material transactions with related parties, specifically those involving The Timken Company, The Timken Corporation, and Timken Wuxi Bearings Co. Ltd..
E-Voting and Participation
The company had facilitated a remote e-voting facility for all resolutions from August 15, 2026, to August 17, 2026. Shareholders attending the AGM also had the option to vote through the e-voting facility available on the NSDL portal. The Chairman addressed the shareholders, providing an update on the company’s business activities, and all shareholder queries were suitably answered.
