Texmaco Rail & Engineering Ltd. has entered into a Share Subscription & Shareholder’s Agreement (SSSA) with its subsidiary, Texmaco Defence Technologies Ltd (TDTL), and Vagus Def Tech & Aerospace Fund-1 (“Calculus”). Calculus will invest up to ₹200 Crores in TDTL. The initial ₹100 Crores will be via equity shares, with the remaining ₹100 Crores through other equity or debt instruments. Upon completion, TDTL will cease to be a wholly-owned subsidiary, with Calculus holding a 30% stake.
Strategic Investment in Texmaco Defence Technologies
Texmaco Rail & Engineering Ltd. announced on 14th August 2026, the execution of a Share Subscription & Shareholder’s Agreement (SSSA) concerning its subsidiary, Texmaco Defence Technologies Ltd (TDTL). The agreement is with TDTL itself and Vagus Def Tech & Aerospace Fund-1, referred to as “Calculus”.
Investment Details and Stake Dilution
Under the terms of the SSSA, Calculus will invest a total of up to ₹200 Crores in TDTL. The first ₹100 Crores will be invested through a fresh issuance of equity shares. The subsequent ₹100 Crores will be invested via the issuance of equity instruments, debt instruments, or any other agreed-upon method. This investment is expected to be completed within 90 days from the execution date.
Upon the successful completion of this subscription, Calculus is expected to hold 30% of the equity share capital of TDTL. Consequently, TDTL will no longer be a wholly-owned subsidiary of Texmaco Rail & Engineering Ltd., but will instead become a subsidiary with a reduced shareholding from the parent company.
Financial Contribution of TDTL
As of 31st March 2026, Texmaco Defence Technologies Limited contributed ₹0.01 Crores to the revenue/turnover/income of Texmaco Rail & Engineering Ltd. Its net worth was also recorded at a minimal amount.
Transaction Nature
The transaction is not a sale of stake by Texmaco Rail & Engineering Ltd. Instead, the dilution in TDTL’s ownership arises from the investment made by Calculus. The company has confirmed that no consideration is being received by Texmaco Rail & Engineering Ltd. itself from this arrangement. The issuance of securities is not considered a related party transaction.
