Texmaco Rail: Subsidiary TDTL Secures ₹200 Crore Investment

Texmaco Rail & Engineering Limited has announced a significant investment into its subsidiary, Texmaco Defence Technologies Ltd (TDTL). The company, along with Vagus Def Tech & Aerospace Fund-1 (“Calculus”), will invest up to ₹200 Crores. The first ₹100 Crores will be through fresh equity shares, with the remaining ₹100 Crores via other equity or debt instruments. Upon completion, TDTL will no longer be wholly-owned.

Strategic Investment in Subsidiary

Texmaco Rail & Engineering Limited has entered into a Share Subscription & Shareholder’s Agreement (SSSA) with its subsidiary, Texmaco Defence Technologies Ltd (TDTL), and Vagus Def Tech & Aerospace Fund-1 (“Calculus”). This agreement facilitates an investment of up to ₹200 Crores in TDTL. The transaction is set to significantly alter the ownership structure of TDTL.

Investment Structure and Impact

The investment will be structured in two tranches. The initial ₹100 Crores will be raised through the issuance of fresh equity shares in TDTL. The subsequent ₹100 Crores will be sourced through the issuance of equity instruments, debt instruments, or other agreed-upon methods. This funding aims to bolster TDTL’s capital structure and operational capabilities.

Shift in Ownership

Following the completion of this proposed subscription, Calculus is expected to hold 30% of TDTL’s equity share capital. Consequently, TDTL will transition from being a wholly-owned subsidiary of Texmaco Rail & Engineering Limited to becoming a subsidiary, with Texmaco Rail retaining a majority stake. The SSSA was executed on 14th August, 2026, with the completion expected within 90 days from this date.

Financial Details of TDTL

As of 31st March, 2026, TDTL reported revenue/turnover/income of ₹0.01 Crores and a net worth of ₹0.01 Crores. No consideration will be received by Texmaco Rail & Engineering Limited directly from this transaction, as the dilution in TDTL’s ownership is a result of further investment by Calculus and the company itself. Texmaco Rail & Engineering Limited is the parent company of TDTL, and neither the promoter nor promoter group has any interest in Calculus.
