Texmaco Rail & Engineering Limited announced on 10th August, 2026, the execution of a Memorandum of Understanding (MOU) with The Signalling Company NV, Belgium (referred to as ‘TSC’). This strategic initiative is designed to foster a collaborative partnership centered around ETCS (European Train Control System) solutions.

Focus on Kavach Development

A key objective of this collaboration is the development and implementation of the Kavach system within the Indian market. The parties have expressed their mutual intent to explore and establish a significant strategic alliance in this critical area of railway signalling and control technology. This initiative aligns with the ongoing advancements and modernization efforts in India’s railway infrastructure.

Path to Definitive Agreement

The MOU serves as a foundational document, with both Texmaco Rail & Engineering and TSC agreeing to negotiate in good faith towards a definitive agreement. This future agreement will detail the commercial terms, governance rights, and other operational aspects of their collaboration. The companies are committed to reaching mutually beneficial terms, subject to necessary approvals from their respective management teams.

Non-Equity Partnership

It is noteworthy that the current MOU is non-equity in nature and does not constitute a joint venture or partnership. Furthermore, neither party has secured specific nominee director rights, governance rights, or established any conflict of interest arrangements at this stage.
