TeamLease Services Limited has initiated the divestment of its entire 30% stake (comprising 3,000 equity shares) in its joint venture company, Crystal HR and Securities Solutions Private Limited. The transaction involves a transfer of 1,800 shares to promoter Ms. Srividya V and a buyback of the remaining 1,200 shares. The total consideration for the sale is ₹10.12 crore in cash. Upon completion, Crystal HR will no longer be a joint venture entity of TeamLease.

TeamLease Services Limited has announced the divestment of its entire 30% shareholding in its joint venture company, Crystal HR and Securities Solutions Private Limited (“Crystal HR”). This move marks the cessation of Crystal HR as a joint venture entity for TeamLease.

Transaction Details

The total stake divested amounts to 30%, comprising 3,000 equity shares. The divestment has been structured in two parts:

  • Part 1: The transfer of 1,800 equity shares by TeamLease Services Limited and its nominees to Ms. Srividya V, one of the promoters of Crystal HR. This transfer was initiated on August 20, 2026, and has been successfully executed.
  • Part 2: A buyback of the remaining 1,200 equity shares by TeamLease. These shares have been formally tendered for buyback and will be processed and extinguished in due course.

The entire transaction is valued at ₹10.12 crore, with the consideration received being in cash. The agreement for sale was entered into on August 12, 2026, following an earlier Share Purchase Agreement dated January 06, 2025.

Rationale and Impact

The divestment is driven by the company’s objective of portfolio rationalisation and capital allocation priorities. The Board of Directors has determined that this proposed divestment is in the best interests of the Company and its Shareholders. Upon completion of the buyback process, Crystal HR will officially cease to be a joint venture entity of TeamLease.

The transaction is deemed to fall under related party transactions, but it has been conducted based on arm’s length negotiations and an independent valuation report.
