Tata Steel Limited has officially divested its entire stake in its wholly-owned subsidiary, Jamshedpur Football and Sporting Private Limited (JFSPL). The transaction involved the transfer of 4,08,00,000 equity shares, representing 100% ownership, to Churchill Brothers Sports Club Private Limited.

Nominal Consideration and Strategic Rationale

The divestment was approved by the Committee of Directors on August 14, 2026, at a nominal consideration of just ₹100. This strategic decision allows Tata Steel to exit its investment in the football subsidiary while ensuring continuity for the JFC players and coaching staff. The agreement was formalized through a Share Purchase Agreement entered into on the same day.

Transaction Details and Future Steps

The turnover of JFSPL for FY2025-26 was reported as ₹32.23 crore, which constituted 0.01% of Tata Steel’s consolidated turnover. The net-worth of JFSPL as of March 31, 2026, was (₹5.8 crore). The expected completion date for the sale is August 31, 2026, contingent upon the satisfaction of certain conditions precedent. These include obtaining necessary approvals from the All-India Football Federation.

The buyer, Churchill Brothers Sports Club Private Limited, is a well-established entity with a significant legacy in Goan football. The transaction has been confirmed as not being a related party transaction and is not part of any scheme of arrangement.
