Tata Steel: Divests Football Subsidiary JFSPL for ₹100

Tata Steel Limited has divested its entire 100% equity stake in its wholly-owned subsidiary, Jamshedpur Football and Sporting Private Limited (JFSPL), to Churchill Brothers Sports Club Private Limited. The transaction, approved by the Committee of Directors on August 14, 2026, was conducted for a nominal consideration of ₹100. This move aims to ensure continuity for JFSPL’s players and coaching staff.

Tata Steel Divests Football Subsidiary

On August 14, 2026, the Committee of Directors of Tata Steel Limited approved the divestment of its entire 100% equity stake in Jamshedpur Football and Sporting Private Limited (JFSPL), a wholly-owned subsidiary. The stake, comprising 4,08,00,000 equity shares of face value ₹10 each, was transferred to Churchill Brothers Sports Club Private Limited for a nominal consideration of ₹100.

Share Purchase Agreement and Conditions

Following the approval, Tata Steel Limited and Churchill Brothers Sports Club Private Limited entered into a Share Purchase Agreement outlining the terms and conditions of the transfer. The completion of this transaction is contingent upon the satisfaction of certain conditions precedent, including securing necessary approvals from the All-India Football Federation and completing other customary actions. Details of the Divested Entity

Jamshedpur Football and Sporting Private Limited reported a turnover of ₹32.23 crore for FY2025-26, representing 0.01% of Tata Steel’s consolidated turnover. As of March 31, 2026, its net worth was (₹5.8) crore. The agreement for the sale was entered into on August 14, 2026, with the expected completion date set for August 31, 2026, subject to regulatory approvals. The buyer, Churchill Brothers Sports Club Private Limited, is a well-established entity in Indian domestic football.

Transaction Nature

This transaction is classified as not a related party transaction. The sale of the entire 100% stake in JFSPL does not form part of any scheme of arrangement. Tata Steel Limited will continue to focus on football at the grassroots and youth level, leveraging its legacy in talent identification and nurturing.
