Tata Steel Limited has announced its financial results for the quarter and half-year ended September 30, 2026. The company’s board approved the audited standalone and unaudited consolidated financial results. Notably, the standalone financial results received a qualified audit opinion from the statutory auditors due to significant uncertainties at its step-down subsidiary, Tata Steel Nederland B.V. Additionally, Mr. Noel Naval Tata announced his retirement as Non-Executive, Non-Independent Director and Vice Chairman, effective November 11, 2026.
Tata Steel Board Approves Financial Results
The Board of Directors of Tata Steel Limited, in its meeting held on November 7, 2026, approved the Audited Standalone and Unaudited Consolidated Financial Results for the quarter and half-year ended September 30, 2026. These results are presented in accordance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Qualified Opinion on Standalone Results
Price Waterhouse & Co Chartered Accountants LLP issued a qualified audit opinion on the accompanying standalone quarterly financial results. The qualification stems from significant uncertainties surrounding Tata Steel Nederland B.V. (TSN), a step-down subsidiary, which has led to the non-recognition of probable material/substantive reduction in fair value of its investment. The auditors highlighted that this uncertainty impacts the investment with a carrying value of ₹59,078.13 crore as of September 30, 2026. Despite this, the standalone results are presented as giving a true and fair view, subject to the effects of this matter.
Consolidated Results Reviewed
The consolidated unaudited financial results have undergone a limited review. The review report indicates that, except for the effects of the matters described concerning the impairment indicators at Tata Steel Nederland B.V. (TSN) and its carrying values of property, plant, and equipment, and goodwill, nothing has come to the reviewers’ attention to suggest that the consolidated statement has not been prepared in all material respects in accordance with applicable accounting standards and disclosure requirements.
Key Financial Highlights (Standalone)
For the quarter ended September 30, 2026, the standalone revenue from operations was ₹43,103.55 crore. The net profit for the quarter was ₹5,053.64 crore. For the half-year ended September 30, 2026, revenue from operations stood at ₹80,491.11 crore, with a net profit of ₹9,588.79 crore.
Retirement of Mr. Noel Naval Tata

Mr. Tata has been associated with the Company since March 2022, and the Board acknowledged his valuable guidance and strategic direction.
Amalgamation Updates
The Board noted progress on the amalgamation of Neelachal Ispat Nigam Limited (NINL) into the Company, with the scheme awaiting sanction from the Hon’ble National Company Law Tribunal (NCLT). Furthermore, the amalgamation of Rujuvalika Investments Limited (RIL) was approved by the Hon’ble NCLT on October 01, 2026, becoming effective from November 03, 2026. The company has accounted for this merger using the pooling of interest method retrospectively, restating previous periods’ figures.
Subsidiary Operations and Uncertainties
The notes to the financial results highlight ongoing uncertainties related to Tata Steel Nederland (TSN), including potential revocation of operating permits and evolving standards for steel slag disposal. These matters are being managed with regulatory engagement, legal assessments, and the development of alternative solutions. TSN’s financial results continue to be prepared on a going concern basis, acknowledging material uncertainty. Similarly, Tata Steel UK (TSUK) has also prepared its financial results on a going concern basis, supported by UK government funding and commitment for equity infusion.
Share Purchase Agreement
The Company completed the acquisition of a 23% equity stake in TM International Logistics Limited (TMILL) on August 20, 2026, for an aggregate consideration of ₹335 crore. This transaction makes TMILL a subsidiary of Tata Steel. An exceptional gain of ₹457.49 crore from the fair valuation of the pre-existing stake in TMILL is included in the consolidated results.
Transfer of Equity Stake
Tata Steel also approved the transfer of its entire 100% equity stake in Jamshedpur Football and Sporting Private Limited (JFSPL) to Churchill Brothers Sports Club Private Limited for a nominal consideration of ₹100/-.
