Tata Motors has announced significant changes to its Board of Directors and Key Managerial Personnel (KMP), effective September 30, 2025 and October 1, 2025. These changes include the cessation of several independent directors, the appointment of a new independent director, and key shifts in KMP roles, especially related to the demerger of the Commercial Vehicles business.
Board of Directors Update
Several changes are coming to Tata Motors’ Board of Directors, influencing the company’s governance and strategic direction.
Independent Directors Departing
Effective September 30, 2025 and October 1, 2025, the following Independent Directors will be stepping down:
- Ms. Hanne Sorensen (DIN:08035439)
- Mr. Kosaraju Veerayya Chowdary (DIN:08485334)
- Mr. Guenter Karl Butschek (DIN:07427375)
Ms. Hanne Sorensen will continue as a director on the Board of Jaguar Land Rover Automotive Plc. UK. Both Mr. Kosaraju Veerayya Chowdary and Mr. Guenter Karl Butschek will be joining the Board of TML Commercial Vehicles Limited.
New Independent Director
Ms. Sudha Krishnan (DIN:02885630) has been appointed as an Additional, Non-Executive Independent Director, for a 5-year term beginning October 1, 2025, pending shareholder approval.
Key Management Personnel (KMP) Changes
Key leadership roles within Tata Motors are also undergoing significant transitions.
Executive Leadership Transition
Mr. Girish Wagh (DIN:03119361) will resign as Executive Director and KMP, effective October 1, 2025. He will be joining the Board of TML Commercial Vehicles Limited as an Additional Director, Managing Director & CEO and KMP.
Mr. Shailesh Chandra (DIN: 07593905) will be appointed as an Additional Director, Managing Director & CEO and KMP, starting October 1, 2025, for a 3-year term, subject to shareholder approval.
CFO Transition
Mr. P. B. Balaji will resign as Group Chief Financial Officer & KMP effective November 17, 2025 and, as announced previously, will join Jaguar Land Rover Automotive Plc, UK. He will then later be appointed as an Additional, Non-Executive, Non-Independent Director on the Board of the Company effective November 17, 2025, subject to the approval of shareholders.
Mr. Dhiman Gupta will become the Chief Financial Officer & KMP, effective November 17, 2025.
