Tahmar Enterprises: Board Approves New Liquor Manufacturing Ventures

Tahmar Enterprises Limited’s Board of Directors has approved a strategic expansion into the manufacturing of Indian Made Foreign Liquor (IMFL) and Maharashtra Made Liquor. These ventures will leverage the company’s existing grain-based distillery in Kolhapur. The board also considered proposals for the acquisition of distillery undertakings and other properties, with further due diligence and committee reviews planned.

Board Approves New Liquor Manufacturing Initiatives

Tahmar Enterprises Limited announced today that its Board of Directors has approved the Company’s entry into the manufacture of Indian Made Foreign Liquor (IMFL) from grain-based spirit produced at its distillery located at Survey No. 990/1, Beradwadi, Village Bhadgaon, Taluka Gadhinglaj, District Kolhapur. This move is supported by a Potable Liquor Licence in Form PLL sanctioned by the Home Department, Government of Maharashtra.

Furthermore, the Board approved the Company’s entry into the manufacture of Maharashtra Made Liquor, a sub-category of foreign liquor. Mr. C. R. Rajesh Nair, Director, has been authorized to manage the registration of brands and labels with the Commissioner of State Excise, Maharashtra. The company also holds prior sanction for a country liquor licence (Form CL-1) and is pursuing its grant.

Consideration of Acquisition Proposals

The Board also reviewed expressions of interest received for the acquisition of two distillery undertakings. These proposals are under consideration and will be further evaluated upon receipt of valuation reports. Separately, an expression of interest from Seebhal Distillery Private Limited, a related party, for the purchase of three immovable properties not part of the distillery undertaking was also considered. These properties include land at Village Shendri, office premises at Patto Plaza, Panjim, and a leasehold industrial plot at Corlim Industrial Estate. These proposals have been referred to the Audit Committee for further review.

Mr. C. R. Rajesh Nair, Director, has been authorized to obtain further information, negotiate commercial terms for the distillery proposals, and to appoint registered valuers for the distillery undertaking and the mentioned immovable properties. An earnest money deposit has been mandated from parties submitting proposals as a condition for continued consideration.

Valuation and Next Steps

The Board resolved that the fair value of the distillery undertaking and the three immovable properties will be determined by registered valuers appointed by the Audit Committee. Mr. C. R. Rajesh Nair is tasked with coordinating the valuation process for the distillery and appointing necessary advisors and professionals for matters related to items 1 and 2 discussed.
