Going Concern and Net Worth

A significant note highlighted in the financial statement indicates a material uncertainty related to the going concern basis of preparation. The company has incurred a substantial net loss for the quarter and as of June 30, 2026, its accumulated losses aggregated to ₹1001.85 lakhs. This has led to a complete erosion of the company’s net worth. Furthermore, the company’s current liabilities exceeded its current assets by ₹297.50 lakhs as of the reporting date. Shareholding and Business Update

The company also reported a material change in shareholding during the quarter. M/s. Touristas Horizons (P) Ltd and M/s. BBU Enterprises (P) Ltd collectively acquired 5,05,722 equity shares, representing approximately 20.64% of the company’s shareholding. Additionally, an advance of ₹300 lakhs was received from Canolli Manufacturing Private Limited as part of a Business Transfer Agreement for the transfer of the company’s business. Shareholders have also approved the proposed acquisition of two companies, TEKFOODS INTERNATIONAL PRIVATE LIMITED and SAMRIDH OVERSEAS TRADING PRIVATE LIMITED, through share swap transactions.
