Sulabh Engineers and Services Limited will convene its 43rd Annual General Meeting (AGM) on Monday, September 28, 2026, commencing at 12:00 P.M. (IST). Key Agenda Items

Ordinary Business:

  • Review, consideration, and approval of the Audited Balance Sheet (Standalone and Consolidated) as of March 31, 2026, and the Statement of Profit & Loss Account for the year ending on that date.
  • Appointment of a director in place of Mrs. Seema Mittal, who retires by rotation.

Special Business:

  • Approval for transactions with related party “Subsidiary of the Company” up to an aggregate limit of ₹2 crores (Rupees Two Crores only) for the Financial Year 2026-27. This approval will be valid until the conclusion of the next Annual General Meeting in 2027.
  • Re-appointment of Mr. Vimal Kumar Sharma as Managing Director for a further period of five (5) years commencing from September 28, 2026.

E-Voting and Record Date

The cut-off date for determining shareholders eligible for e-voting is September 22, 2026. The e-voting period will commence on Friday, September 25, 2026, at 09:00 A.M and conclude on Sunday, September 27, 2026, at 05:00 P.M. The Register of Members and Share Transfer Books will remain closed from September 23, 2026, to September 28, 2026, inclusive, for the purpose of the AGM.

Director Re-appointments

The notice also details the re-appointment of Mrs. Seema Mittal and Mr. Vimal Kumar Sharma. Mr. Sharma’s re-appointment as Managing Director is for a period of five years, commencing from the ensuing AGM. The Nomination and Remuneration Committee and the Board of Directors have recommended these re-appointments.

Related Party Transaction Approval

A special resolution is proposed to approve related party transactions with Venkatswamy Mining And Estates Private Limited, the Subsidiary Company. The aggregate limit for these transactions is set at ₹2 crores for FY 2026-27, and the approval will extend until the next AGM in 2027. The Audit Committee will review these transactions quarterly.
