NCLT Sanctions Amalgamation Scheme

Sonata Software Limited has received official confirmation regarding the sanctioning of its Scheme of Arrangement and Amalgamation. The National Company Law Tribunal (NCLT), Chennai Bench, issued an order on June 5, 2026, approving the amalgamation between Encore I.T. Services Solutions Private Limited (Transferor Company) and Sonata Software Limited (Transferee Company). This development is in accordance with Sections 230 to 232 of the Companies Act, 2013.

Effective Date and Next Steps

The Scheme will officially become effective upon the filing of the certified copy of the NCLT’s order with the Registrar of Companies. The NCLT’s order was pronounced on June 5, 2026, and the order approving the scheme was made available on the NCLT website on June 11, 2026. The certified copy of the order is currently awaited.

Scheme Details

The amalgamation aims to consolidate the business under a single entity, streamline the corporate structure, reduce administrative costs, and enhance strategic focus. The rationale includes achieving operational efficiencies, optimizing resource utilization, and generating synergy benefits. As per the scheme, the Transferor Company will be dissolved without the process of winding up, and its assets and liabilities will be transferred to the Transferee Company. The ‘Appointed Date’ for the Scheme is fixed as April 1, 2024.

Sonata Software Limited submitted the requisite intimation to the National Stock Exchange of India Limited and BSE Limited on June 11, 2026, regarding the sanction of the Scheme of Arrangement and Amalgamation.
