The Scheme of Arrangement and Amalgamation received approval from the Registrar of Companies (RoC) on 25th August, 2026. The appointed date for the merger is 1st April, 2024. The company stated that this merger will not impact its issued, subscribed, or paid-up capital as no new equity shares are being issued.

Sonata Software Limited has officially confirmed the effective date for its merger with its wholly-owned subsidiary, Encore I.T. Services Solutions Private Limited. The company informed stakeholders that the Scheme of Arrangement and Amalgamation has become effective from 14th August, 2026. This follows the approval granted by the Registrar of Companies (RoC) on 25th August, 2026, through the filing of Form No. INC-28.

Key Dates and Financial Impact

The appointed date for this significant corporate restructuring is 1st April, 2024. Sonata Software Limited also clarified that the merger, involving a subsidiary, will not result in any change to the company’s issued, subscribed, and paid-up capital. This is due to the fact that no new equity shares are being issued as part of the scheme, ensuring no dilution for existing shareholders.
