SKF India announced that its promoter, Aktiebolaget SKF (AB SKF), has acquired an additional 3,326,004 equity shares, representing 6.73% of the company. This acquisition was completed through an off-market transaction from SKF (U.K.) Limited and SKF Förvaltning AB, both part of the Promoter Group. The transaction, dated October 6, 2025, involved no monetary consideration as it was a distribution of dividend in kind.

Aktiebolaget SKF (AB SKF), the promoter of SKF India, has increased its stake in the company by acquiring 3,326,004 equity shares. This represents 6.73% of the total shareholding. The transfer took place on October 1, 2025.

Details of the Transaction

The shares were acquired via an off-market transaction from SKF (U.K.) Limited and SKF Förvaltning AB. Both entities are part of the promoter group. As a result of this transaction, Aktiebolaget SKF’s holding in SKF India increased to 52.58%.

Dividend in Kind

It’s important to note that this acquisition did not involve any monetary consideration. The transfer of shares represents a dividend in kind distribution from SKF (U.K.) Limited and SKF Förvaltning AB to Aktiebolaget SKF. This internal restructuring within the promoter group resulted in the increase of Aktiebolaget SKF’s stake in the Indian entity.
