SJVN Limited’s Board of Directors has approved the proposal to merge SJVN Thermal Private Limited (STPL), a wholly-owned subsidiary, with SJVN Limited. This strategic move aims to consolidate operations, eliminate duplication, and rationalize resources, potentially leading to improved operational efficiency and cost reduction. The merger is subject to the approval of the Government of India and other competent authorities. Details regarding the financial implications and the Scheme of Amalgamation are being finalized.
SJVN Board Approves Merger of Wholly-Owned Subsidiary
In a significant corporate development, the Board of Directors of SJVN Limited has given its in-principle approval for the merger of its wholly-owned subsidiary, SJVN Thermal Private Limited (STPL), with SJVN Limited. This decision was made during the Board meeting held on Friday, October 30, 2026.
Strategic Rationale for Merger
The proposed amalgamation is driven by the objective to consolidate operations and enhance overall efficiency. Maintaining a separate corporate structure for STPL currently entails duplicative administrative and operational functions, along with multiple statutory and regulatory compliances, leading to additional expenditure and deployment of managerial resources. The merger is expected to facilitate the elimination of overlapping functions, rationalization of resources, and reduction in compliance and administrative costs. This strategic consolidation is anticipated to improve operational efficiency, thereby serving the overall interests of both entities.
Key Financial and Transaction Details
As of March 31, 2026, SJVN Thermal Private Limited had a paid-up capital of ₹3131,72,00,000 and a turnover of ₹520,78,00,000. The transferee company, SJVN Limited, had a paid-up capital of ₹3929,79,51,750 and a turnover of ₹3544,52,00,000.
Since the merger is between a parent company and its wholly-owned subsidiary, no cash consideration or share exchange ratio is applicable. Similarly, given that SJVN Limited already owns 100% of STPL, there is no anticipated change in the shareholding pattern of the listed entity.
The transaction does not fall under the purview of related party transactions as per the General Circular No. 30/2014 issued by the Ministry of Corporate Affairs, concerning amalgamations under the Companies Act, 2013.
Next Steps and Approvals
The merger proposal is subject to the necessary approvals from the Government of India and other competent authorities, as applicable. The finalization of the Scheme of Amalgamation is also pending. The Board meeting commenced at 11:30 HRS and concluded at 15:00 HRS on October 30, 2026.
