Re-appointment of Mr. Sachin Gupta

Similarly, the shareholders will be asked to approve the re-appointment of Mr. Sachin Gupta (DIN: 00006070) as the Whole-time Director. This term will also span five consecutive years, starting from July 21, 2027, to July 20, 2032. Mr. Gupta is a Commerce graduate with over 23 years of experience in financial markets and business development.

Continuation of Mr. Yogesh Lohiya

The board also recommended the continuation of Mr. Yogesh Lohiya (DIN: 00424142) as a Non-Executive Independent Director. This continuation is proposed after he attains the age of 75 years, for the remainder of his current term, ensuring continuity in experienced leadership.

AGM and Dividend Announcement

The company will convene its 32nd Annual General Meeting (AGM) on Tuesday, September 29, 2026, at 04:30 p.m., to be conducted via Video Conferencing. The board has also fixed Wednesday, September 09, 2026, as the Record Date for determining shareholder eligibility for the Final Dividend for the financial year 2025–26. The payment of this dividend, subject to shareholder approval, is scheduled for on or before Tuesday, October 20, 2026.

It has been confirmed that Mr. Rajesh Arora, Mr. Parveen Gupta, Mr. Sachin Gupta, and Mr. Yogesh Lohiya are not debarred from holding directorships by any order from SEBI or any other regulatory authority.
