Share India Securities Limited announced that its Board of Directors has approved a Scheme of Amalgamation. This scheme involves the merger of Ace Alpha Tech Limited, a listed company, with Share India Securities Limited. The amalgamation is subject to necessary statutory and regulatory approvals from authorities including the Stock Exchanges and the National Company Law Tribunal.

Share India Securities Board Approves Amalgamation

In a significant development for its corporate structure, Share India Securities Limited has announced the approval of a Scheme of Amalgamation by its Board of Directors. The approved scheme details the amalgamation of Ace Alpha Tech Limited, a listed entity, with Share India Securities Limited. This decision was made during a board meeting held on November 06, 2026.

Scheme Details and Regulatory Approvals

The proposed amalgamation will proceed under the provisions of the Companies Act, 2013, along with relevant rules and regulations. Ace Alpha Tech Limited is primarily engaged in developing and customising technology-driven solutions for financial markets, including automated trading systems. Share India Securities Limited operates broadly in capital markets and securities trading, offering services such as stock broking, proprietary trading, and depository participant services.

The rationale behind the amalgamation focuses on integrating complementary business activities, consolidating technology capabilities with financial services, strengthening technology-enabled financial services, and achieving operational efficiencies. The proposed structure aims to create a unified business platform for future growth and to optimize managerial and financial resources.

The amalgamation is contingent upon securing various statutory and regulatory approvals. These include approvals from the Stock Exchanges, the Securities and Exchange Board of India (SEBI), the National Company Law Tribunal (NCLT), and other competent authorities as required by law. The company plans to file the necessary application for approval under Regulation 37 of the Listing Regulations in due course.

Share Exchange Ratio

Pursuant to the proposed Scheme, Share India Securities Limited will issue and allot 863 fully paid-up equity shares of face value INR 2 each for every 1,000 fully paid-up equity shares of face value INR 10 each held by the equity shareholders of Ace Alpha Tech Limited. Fractional entitlements arising from this exchange will be handled by a trust nominated by the board.

Shareholding Pattern Impact

The amalgamation is expected to alter the shareholding pattern of Share India Securities Limited. Before the amalgamation (as of September 30, 2026), the Promoter & Promoter Group held 47.66% and the Public held 52.34%. Post-amalgamation, the projected shareholding is 45.96% for the Promoter & Promoter Group and 54.04% for the Public, reflecting the issuance of new equity shares.
