New Subsidiary and Investment

Further demonstrating its commitment to expansion, the board also gave its nod for the incorporation of a new subsidiary. The name of this entity is yet to be finalized and will be proposed by the Finance Committee, requiring subsequent approval from the Registrar of Companies. Share India Securities plans to make a significant investment of up to ₹120 crore in the equity shares of this new subsidiary. The Finance Committee has been empowered to determine the exact investment amount and its disbursement in one or more tranches.

To facilitate these strategic decisions, the Board has authorized the Finance Committee to meticulously evaluate and finalize the detailed terms and conditions for both the preferential issue and the investment in the proposed subsidiary. This includes specifying the terms of the convertible warrants and the exact quantum and timing of the investment.
