Samvardhana Motherson International Limited has completed an internal corporate restructuring in Spain. Modulos Ribera Alta SL (MRA) has successfully merged into its holding company, Celulosa Fabril SA (CEFA). This integration is designed to streamline the group’s corporate structure and enhance operational efficiency within the European market. MRA ceased to exist as an independent entity on April 14, 2026, with all assets transferred to CEFA.

Strategic Corporate Restructuring

The merger of MRA into its parent company, CEFA, was officially finalized on April 20, 2026, following registration with the Commercial Register of Zaragoza, Spain. This consolidation allows the company to simplify its corporate architecture, reducing administrative complexity while maintaining its manufacturing capabilities in the region. CEFA will continue to operate as an indirect subsidiary of Samvardhana Motherson International Limited, absorbing all assets and liabilities of MRA through universal succession.

Financial and Operational Overview

Both entities involved in the merger reported significant business activity in the previous fiscal year. For the financial year ended March 31, 2025, MRA recorded a turnover of Euro 92,294,953.77, while CEFA reported a turnover of Euro 81,595,001.28. By combining these operations, the firm aims to leverage the combined industrial expertise of both entities, which focus on the manufacturing, processing, and distribution of plastic materials and consumer-related products.

Future Outlook

This organizational alignment is part of a broader strategy to optimize operating efficiency across the group’s global footprint. There is no change to the shareholding pattern of the listed entity resulting from this transaction, as it involves internal subsidiaries. The move is expected to support more agile decision-making and better integration of technical services provided to partners and third parties.
